Gates Terms and Conditions |

| It is important that you
complete all data requested on the order form.
Under normal conditions, you will be contacted within 48 hours
of receipt of your order.
In-stock items will be shipped within 7 business days.
Custom items require additional time to manufacture or to
order from suppliers. Your Sales Associate will discuss delivery
time with you.
Final delivery is contingent upon materials supplied to Blockader®
Gates.
Notification of delay will be made as soon as we learn of
any delays. |
| Special Terms and Conditions
Selected products have special
terms and conditions listed in the specific price list.
These are in addition to standard terms and conditions. They
must be read and acknowledged prior to submitting any orders.

| Prices All
prices are subject to change without notice.
Goods will be invoiced at the rate which is current on the
date you order is approved and processed. |
| Backorders If
it’s not possible to deliver all items in one shipment,
Blockader®
Gates will complete the order in several shipments
until the order is complete.
Shipping points for multiple items can made from different
location around the country. You must approve the shipping
costs before your order is placed. |
| Terms Public
agencies (City, State, County, Federal) automatically receive
an open account when an official order is submitted.
Private firms must complete a credit application which requires
you to submit 4 credit and bank references.
All references will be contacted
Allow 1 - 3 weeks for a credit check.
COD orders are not accepted. |
| Payment Date
of invoice is the ship date.
Net amount is due 10 days from the date of the invoice.
Payments not received within 10 days may be assessed a 2%
finance charge, retroactive to invoice date.
Failure to pay the late fee will affect future credit. |
| Sales Tax Sales
tax is due on all orders from Pennsylvania, California, and
Florida, unless a written exemption certificate is supplied.
Past Dues
If any invoice is not paid
in full in 50 days, Blockader®
Gates will initiate the collection process.
The buyer is responsible for all costs and expenses, including
collection and /or attorney's fees, incurred by Blockader®
Gates in the collection process by litigation or
otherwise.
Title Reserved
All goods remain the property
of Blockader® Gates until the full performance
of the contract, and until all sums are paid in full including
shipping and handling charge.
Quality
Blockader®
Gates offers products which we consider to
be equal to or better than similar products in the North American
market.
Warranty
Blockader®
Gates guarantees its products to be free of
defects in workmanship and materials for one (1) year from
date of delivery.
This does not include deliberate destruction or damage due
to vandalism, abnormal use, or normal wear and tear in the
working environment.
Blockader®
Gates will repair or replace free of charge, all
parts found defective, but in no case will be responsible
for supplementary damages. |

Specifications in the Blockader®
Gates brochure were correct at the time of
publication.
Shipping and Handling
The FOB point is when the transportation
carrier accepts the shipment.
Unless specified "collect" all shipments
will be subject to a shipping and handling charge added by
the invoice.
This amount does not necessarily reflect any cash or special
discounts between the carrier and Blockader®
Gates.
Unless a specific routing is requested, all shipments will
be at the discretion of the shipping department.
If specific routing is requested Blockader®
Gates will do its best to use the specified carrier.
Specific Shipping Dates
Blockader®
Gates will attempt to arrange delivery on specific
dates, but in no case can be held responsible for any delays
prior to shipment due to the production scheduling, delays
by suppliers, fires, strikes, or any other causes, nor with
any delays by the transportation carriers.
Returns
Written authorization is
required prior to returning any goods for any reason.
If there is a problem with your order, please contact your
sales associate immediately at 866-851-7854.
Please provide all the basic information from the invoice,
description of the items and the reasons for the return.
When you receive the return goods authorization please send
them freight paid, to the designated location.
Upon receipt the items will be inspected and appropriate action
taken.
Blockader®
Gates may assess a restocking fee, depending on the
reason for return. Returned items must be received
in good condition with transportation charges
pre paid.
Loss or Damage in Transit
Do not refuse any part of a shipment.
Do not sign the delivery receipt until all damages or shortages
are noted.
Blockader® Gates is
not responsible for loss or damage in transit.
We will, however, assist the buyer in processing the complaint
if all the correct procedures have been carried out.
Once the transportation carrier signs for receipt of the merchandise
as complete and in good condition, the transportation
carrier is responsible for delivering the merchandise to the
buyer in complete and in good condition.
Any shortage or damage must be noted and signed for by the
delivering carrier.
It is difficult and sometimes impossible to collect for damages
or loss when the buyer gives the transportation company a
clear receipt.
If you accept the shipment without proper notification,
you do so at your own risk.
Open all cartons immediately upon delivery and examine for
damage.
You must keep all receipts, cartons, and packaging material.
Failure to do so may invalidate any claim against the carrier.
You must file your written claim for concealed damage
within 15 days of delivery.
